Terms of Use
Introduction
These Terms of Service govern your use of Zari. By creating an account, accessing the website, using the mobile app, subscribing to a paid plan, or otherwise using Zari, you agree to these Terms. If you do not agree, do not use the service.
1. Who we are

2. Who can use Zari
Zari is intended for business and commercial use by individuals and businesses aged 18 or over. You may only use Zari if you can form a binding agreement under applicable law.
If you use Zari on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation to these Terms.
3. Your account
You are responsible for the accuracy of the information you provide when creating and maintaining your account. You are also responsible for keeping your login details secure and for all activity that happens under your account unless caused by our own fault.
You must promptly notify us if you believe your account has been compromised or used without authorisation.
4. What Zari provides
Zari provides business software and related services that may include account management, subscriptions, sales and expense tracking, business records, customer records, invoices, receipts, quotes, dashboards, exports, support features, billing pages, and related tools.
Features may vary by plan, region, platform, subscription source, or rollout stage. We may improve, change, add, or retire features from time to time, provided we do not act unlawfully or in bad faith.
5. Business data and your responsibilities
You are responsible for the data you enter into Zari, including business records, prices, customer information, invoices, receipts, sales, expenses, refunds, tax-related entries, exports, and team access settings.
You must ensure that you have the right to input and use the information you store in Zari; your records comply with applicable law; your team members use the service appropriately; and your exported or shared documents are checked for accuracy before you rely on them.
Zari is a business tool. It does not provide legal, tax, or accounting advice.
6. Team access and permissions
If your business workspace allows multiple users, you are responsible for assigning access carefully. Owners and authorised administrators are responsible for who is invited, what permissions are granted, and when access is changed or removed.
We may rely on the permissions structure configured within your business account when determining what a user is allowed to view or do.
7. Subscription plans and billing
Some parts of Zari may be free, while others require a paid subscription or paid features.
Billing may be managed through different channels depending on your region, platform, or account source, including Zari portal billing; admin-assisted/manual billing; approved provider-supported payment methods such as EcoCash and card payments where relevant; and app store billing where and when supported in future builds.
For some non-Zimbabwe markets, we may later introduce additional providers such as Stripe. If we do, we may update these Terms and related policies accordingly.
Pricing, billing cycle, included users or seats, renewal dates, and access state may vary by plan and region.
8. Payments, renewals, and failed payments
By subscribing to a paid plan, you authorise us or our payment providers to process the applicable charges through the relevant billing channel.
Where subscriptions renew automatically, renewal handling may depend on the billing source. Where billing is manual, portal-based, admin-assisted, or mobile-money-based, renewal may require an active payment before continued access is provided.
If a payment fails, is reversed, is not completed, or becomes overdue, we may place the relevant business in a restricted, grace, past-due, or inactive state until billing is brought back into good standing.
9. Refunds
Refunds are governed by our Refund Policy and, where relevant, the rules of the billing channel used.
For example, app store purchases may be subject to Apple or Google refund procedures; direct portal or provider-processed payments may be subject to our Refund Policy and the relevant payment provider terms.
We reserve the right to refuse refund requests where misuse, fraud, duplicated benefits, or clear policy exclusion applies, subject to applicable law.
10. Acceptable use
You must not use Zari for unlawful, fraudulent, deceptive, abusive, or harmful conduct; interfere with the security, stability, or proper functioning of the service; attempt to gain unauthorised access to accounts, systems, or data; misuse team access, impersonate others, or circumvent plan limits dishonestly; upload malicious code, spam, or content that infringes the rights of others; or use the service in a way that could damage Zari, other users, or third parties.
We may investigate misuse and take appropriate action, including suspension or termination.
11. Suspension and termination
We may suspend, restrict, or terminate access where you materially breach these Terms; payment is overdue or unresolved; your use creates legal, security, fraud, or operational risk; we are required to do so by law; or continuing to provide the service is not reasonably possible.
You may stop using Zari at any time. Termination or closure of an account does not automatically erase records that we must keep for legal, audit, fraud-prevention, or security reasons.
12. Intellectual property
Zari, including its software, branding, design, text, graphics, workflows, and related content, is owned by or licensed to Powrgen Limited and is protected by intellectual property law.
We grant you a limited, non-exclusive, non-transferable, revocable right to use Zari in accordance with these Terms. You do not acquire ownership of the service or our intellectual property by using it.
13. Service availability and changes
We aim to provide a reliable service, but we do not promise that Zari will always be uninterrupted, error-free, or available at all times.
We may carry out maintenance, updates, bug fixes, infrastructure changes, and security measures. We may also change features, pricing, plans, or service structure, provided we do so lawfully and reasonably.
14. Data protection and privacy
Our Privacy Policy explains how we collect, use, store, share, and protect personal information. By using Zari, you acknowledge that personal information may be processed in accordance with our Privacy Policy.
Where we process data on behalf of a business customer, that business may be responsible for certain data it places into Zari.
15. Third-party services
Zari may integrate with or rely on third-party services such as hosting providers, payment providers, app stores, messaging services, analytics tools, or support systems.
Your use of those third-party services may also be subject to their own terms and policies. We are not responsible for third-party services beyond the extent required by applicable law.
16. Disclaimers
Zari is provided on an "as available" and "as provided" basis to the fullest extent allowed by law. While we aim to provide a high-quality service, we do not guarantee that the service will be uninterrupted, error-free, or suitable for every business purpose.
You remain responsible for checking important records, exports, invoices, receipts, and financial information before relying on them.
17. Limitation of liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that must remain under applicable law.
To the fullest extent permitted by law, Powrgen Limited will not be liable for indirect, incidental, special, consequential, or punitive loss, including loss of profits, revenue, business opportunity, goodwill, or data, arising out of or related to your use of Zari.
Where liability can lawfully be limited, our total aggregate liability arising out of or relating to Zari will be limited to the amount you paid us for the relevant service during the 12 months before the event giving rise to the claim, or, if no amount was paid, a reasonable nominal amount permitted by law.
18. Governing law and disputes
These Terms are governed by the laws of Zimbabwe, unless mandatory consumer or other legal protections in your jurisdiction require otherwise.
You agree that disputes relating to Zari may be handled in the courts of Zimbabwe, subject to any non-excludable rights you may have under applicable law.
19. Changes to these Terms
We may update these Terms from time to time to reflect legal, operational, or product changes. When we do, we will update the effective date and, where appropriate, take reasonable steps to notify users of material changes.
